A nonprofit designation is typically reserved for companies benefiting the public or working to effect a specific cause. Nonprofit organizations may structurally resemble C corporations, but they must handle their profits differently.
Most states recognize S corps the same way that the federal government does and tax shareholders according to those laws. First of all, it’s important to understand that “getting a license” is not the same as “registering a company”. Companies such as LLCs or corporations are legal entities, formed by the state, and essentially are separate from their owners.
Your accountant may recommend that you establish an EIN for your business and your bank may require one to set up business banking accounts and services. With a registered office selected, it’s time to check that your desired business name is available by searching the name in the PA Department of State’s business filing services website. Once you’ve verified that the name is available, you can then obtain your federal employer identification number (FEIN/EIN) electronically on the Internal Revenue Service (IRS) website. Each corporation must provide an initial street address, which can’t be a post office box or a care of address. A postal address for the corporation can also be provided (an international address is acceptable). The registered agent’s address may not be used as the business address. The filer may simply fill in the required business information and the certificate of limited partnership will be electronically generated when the filing is approved.

Apply for an EIN for free directly with the IRS, rather than paying for it through one of the many online providers with government-sounding web addresses. New York State corporations pay a corporate franchise task based on their revenues. Corporations in New Jersey pay corporate income tax based on revenues. Other business types aren’t taxed – business owners’ income is taxed instead. As in Maryland, LLPs and LLCs operating in Montana are exempt from corporation tax.
Step 7: Get tax advice and file any required forms
The California Corporations Code requires that corporations designate an agent to receive legal documents and official correspondence in the state of California. The designated agent must have a physical street address in California.

Generally, foreign citizens and companies incorporate their US business as an LLC or C-Corp. This is because neither of these types of entities has restrictions on the number of foreign owners. A few states require all businesses formed in that state to obtain general business license (like Nevada, which is one of the reasons we don’t recommend this state). This is just another way for the state to cash in on the fact that companies want to or have to be registered there. Also in some states local authorities require businesses domiciled within the borders of the local jurisdiction (e.g. California cities and towns) to obtain local general business license.
